
Resale Policy

Purpose
This policy governs the resale, redistribution, and recirculation of M.A. Wolfgang's skin topical products ("Products") in order to protect product integrity, ensure proper handling and storage, maintain compliance with applicable health and safety regulations, and safeguard consumer safety and brand reputation.
Authorized Resellers
Products may only be resold, distributed, or recirculated by the following categories of entities ("Authorized Resellers"):

Licensed Pharmacies — Retail or compounding pharmacies holding a valid, current pharmacy license issued by the applicable state or national regulatory board.

Licensed Physicians' and Practitioners' Facilities — Medical offices, dermatology clinics, medspas, and other healthcare facilities operating under a licensed physician, physician assistant, nurse practitioner, or equivalent credentialed provider.

Licensed Drug Stores — Retail drug stores holding a valid pharmacy or drug retailer license permitting the sale of over-the-counter and/or prescription topical products under applicable law.
No other individual or entity — including but not limited to general retailers, e-commerce marketplaces, wellness/beauty shops without a pharmacy license, distributors outside the above categories, or private resellers — is authorized to resell or recirculate Products.
Verification Requirements
Before any resale relationship is established, the reseller must provide:

A copy of its current pharmacy, drug store, or medical facility license

Proof the license is active and in good standing with the relevant state/national board

A completed Authorized Reseller Agreement (see Section 6)
M.A. Wolfgang reserves the right to independently verify licensure status at any time, including periodic re-verification (recommended annually or upon license renewal).
Prohibited Conduct
Authorized Resellers may not:

Resell Products to any unauthorized third party, including online marketplaces (e.g., Amazon, eBay) unless separately and expressly approved in writing

Alter, repackage, relabel, or tamper with Products or their packaging

Sell expired, damaged, or improperly stored Products
-
Represent themselves as an official M.A. Wolfgang distributor without written authorization

Export Products outside an approved territory without prior written consent
Storage & Handling Requirements
Authorized Resellers must store Products in accordance with label instructions (e.g., temperature, humidity, light exposure) and applicable pharmacy/medical facility storage regulations, and must not sell Products past their labeled expiration date.
Authorized Reseller Agreement
All resale relationships require execution of a written Authorized Reseller Agreement, which incorporates this policy by reference and includes:

Reseller's license information and category (pharmacy / physician facility / drug store)

Term and termination provisions

Indemnification and compliance representations

M.A. Wolfgang's right to audit and terminate for noncompliance
Enforcement
Violation of this policy may result in:

Immediate suspension or termination of the resale relationship

Refusal of future orders

Legal action where warranted, including for trademark/brand misuse or unauthorized distribution
Reporting Unauthorized Resale
Suspected unauthorized resale or recirculation of Products should be reported to M.A. Wolfgang at info@mawolfgang.com.
Policy Review
This policy will be reviewed periodically and updated as needed to reflect changes in applicable law or business requirements. M.A. Wolfgang reserves the right to modify this policy at its sole discretion with reasonable notice to Authorized Resellers.
